So, if I read the quote you gave correctly, one of us signs off from the Ay, the other can keep the company as an open venture and then after a year, it automatically becomes a Tmi.

On the other hand, AY should have words avoin yhtiö in the company name and I would think that Tmi can't have words avoin yhtiö, so IMHO it can't happen automagically.
